Last year I naively started a corporation in Delaware - nothing came of it, we never issued shares, we never started business. in Feb I got an email from my registered agent saying it was time to file my annual report or the company would be dissolved. Great, that's what I wanted so I didn't do anything. Then I got another document saying I owed 55k in franchise tax. It turns out its only 500 for last year and 400 for this year. But my question is - what if I don't pay it? Am I personally liable?

if you did everything right when you set up the corp, you're probably not liable personally....Although, if the IRS would like to, they can probably force you to spend thousands to prove it in tax court.
